Terms of Service — Ora Within

Please read these Terms of Service ("Terms") carefully before using the Ora Within mobile application (the "App") and the website located at orawithin.com (the "Site"), together the "Services," offered by Kaila Lipford, individually, doing business as "Ora Within" ("Ora Within," "we," "us," or "our").

By creating an account, downloading the App, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Note: Kaila Lipford intends to form ORA WITHIN LLC as the operating business entity for Ora Within. These Terms will be updated to reflect ORA WITHIN LLC as the contracting party once that entity is officially registered.

1. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Not Medical Advice; Not a Substitute for Professional Care

Ora Within is a wellness and lifestyle tool. It is not a medical device, and it does not provide medical advice, diagnosis, or treatment.

References to "healing," "healing plans," "protocols," or similar terminology within the Services are used in a general wellness and lifestyle sense only, and are not intended to represent medical treatment, clinical care, diagnosis, cure, mitigation, or prevention of any disease or medical condition.

The daily healing plans, protocols, affirmations, food suggestions, movement suggestions, and all other content in the App are provided for general wellness and informational purposes only. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition, before starting any new diet, exercise routine, or wellness practice, and before disregarding or delaying professional medical advice because of something you read or experienced through the Services. If you believe you are experiencing a medical emergency, call 911 or your local emergency number, or seek immediate emergency medical attention.

Movement and physical activity: You are responsible for determining whether any movement, exercise, dietary, mindfulness, breathwork, or other wellness activity suggested by the Services is appropriate for you. Stop any activity that causes pain, dizziness, shortness of breath, or other concerning symptoms, and seek appropriate medical attention.

Food and nutrition content: Food and nutrition content within the Services is provided for general informational and wellness purposes and is not individualized medical nutrition therapy.

Not a crisis or mental health service: Ora Within is not a crisis response, emergency, psychotherapy, counseling, or mental health treatment service. The Services should not be relied upon for crisis intervention or emergency assistance. If you are experiencing a mental health crisis, please contact a crisis line, emergency services, or a qualified mental health professional.

No professional relationship: Using the Services does not create a physician-patient, therapist-client, dietitian-client, coach-client, fiduciary, or other professional relationship between you and Ora Within, unless we separately offer such services to you under a distinct written agreement.

Ora Within makes no claims that any content, protocol, or feature within the App will cure, treat, or reverse any medical condition or symptom.

3. Accounts

To use most features of the App, you must create an account. You agree to provide accurate and complete information when creating your account, keep your login credentials confidential and secure, notify us promptly at hello@orawithin.com if you suspect unauthorized access to your account, and be responsible for all activity that occurs under your account.

You may sign in using email/password, Sign in with Apple, or Sign in with Google. If enabled, you may also use an optional "Quick Sign-In" feature relying on your device's Face ID, Touch ID, or passcode, as described in our Privacy Policy.

You may permanently delete your account at any time through Profile → Account → Delete Account within the App. This action is irreversible and does not automatically cancel any active subscription (see Section 4.3).

4. Subscriptions

4.1 Subscription Terms

Ora Within offers a premium subscription ("Ora Within Premium") at $14.99/month, which includes a 7-day free trial for new subscribers. Full pricing, trial, and renewal terms are also disclosed at the point of purchase within the App.

4.2 Billing and Renewal

Your subscription is billed through the Apple App Store (or Google Play, where applicable) using the payment method associated with your Apple ID or Google account. Unless canceled at least 24 hours before the end of the current period, your subscription automatically renews at the then-current price, and your payment method will be charged for renewal within 24 hours before the end of the current period. If you do not cancel before the 7-day free trial ends, you will be automatically charged for the first month of your subscription.

4.3 Managing and Canceling Your Subscription

You can manage or cancel your subscription at any time through your Apple ID account settings (Settings → [Your Name] → Subscriptions), the equivalent Google Play settings, or the "Manage Subscription" screen within the App. Canceling stops future renewals but does not refund the current billing period unless required by applicable law or App Store policy. Deleting your Ora Within account does not cancel your subscription — these are separate actions.

4.4 Refunds

All payments are processed by Apple or Google. Refund requests are subject to Apple's or Google's own refund policies, and we do not have the ability to directly issue refunds for App Store or Google Play purchases.

4.5 Price Changes

We may change subscription pricing from time to time. If we do, we will provide notice as required by Apple's or Google's applicable guidelines before the change applies to you.

5. Acceptable Use

You agree not to use the Services for any unlawful purpose or in violation of these Terms; attempt to gain unauthorized access to the Services, other users' accounts, or our systems; reverse-engineer, decompile, or attempt to extract the source code of the App except as permitted by law; use automated systems (bots, scrapers) to access the Services without our prior written consent; interfere with or disrupt the integrity or performance of the Services; impersonate any person or entity or misrepresent your affiliation with any person or entity; or upload or transmit any content that is unlawful, harmful, harassing, or infringes the rights of others.

We reserve the right to suspend or terminate your account for violations of this Section.

6. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, the Ora Within name and branding, protocols, affirmations, and design — are owned by Kaila Lipford / Ora Within or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, subject to these Terms. All other rights are reserved.

User Content

Content you submit to the App (such as journal entries, check-ins, and food logs) remains yours. You represent that you have the rights necessary to submit any content you provide, and that your content does not violate applicable law or the rights of any third party. You grant us a non-exclusive, worldwide, royalty-free license, limited to operating, securing, maintaining, and providing the Services, to store, process, and display your content back to you as necessary to do so. We do not grant ourselves any broader commercial rights to your personal content, such as your private journal entries, than what is necessary to run the Services for you.

Feedback

If you provide ideas, suggestions, feedback, or recommendations regarding Ora Within, you grant us the right to use that feedback without restriction or compensation to you, provided that this does not grant us rights to your private journal entries or personal wellness information.

7. Third-Party Services; Service Changes

The Services rely on and integrate with third-party services, including Supabase (backend/database), RevenueCat (subscription management), Apple and Google (sign-in and payment processing), and, on the Site, services such as Stripe, Gumroad, Calendly, Google Analytics, and Netlify, where applicable. We are not responsible for the practices or content of these third-party services, which are governed by their own terms.

We may modify, update, or discontinue features of the Services, perform maintenance, or be affected by outages of the third-party services described above, from time to time and without guaranteeing perpetual availability of any specific feature, subject to applicable law.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY RESULTS OR OUTCOMES (WELLNESS-RELATED OR OTHERWISE) WILL BE ACHIEVED THROUGH USE OF THE SERVICES.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ORA WITHIN AND KAILA LIPFORD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Kaila Lipford / Ora Within from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of: your misuse of the Services; your violation of these Terms; your violation of applicable law; your infringement of any third party's rights; or content you submit through the Services.

11. Termination

We may suspend or terminate your access to the Services where reasonably necessary, including where we believe you have violated these Terms, created risk or potential legal exposure, engaged in fraudulent or abusive conduct, or where required by law. We may also discontinue all or part of the Services, subject to applicable law. You may stop using the Services and delete your account at any time through the App. Sections of these Terms that by their nature should survive termination (including Sections 6, 8, 9, 10, 13, and 14) will survive.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Last Updated" date above and, where appropriate, through the App or by email. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved informally by contacting us at hello@orawithin.com. If a dispute cannot be resolved informally, both parties agree that any legal action shall be brought exclusively in the state or federal courts located in Illinois, and you consent to the personal jurisdiction of such courts.

14. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms expressly presented to you in connection with specific features or services, constitute the entire agreement between you and Ora Within regarding the Services and supersede any prior agreements or understandings regarding the Services.

15. No Waiver

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or our right to enforce it later.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
